Agreement

By engaging York Digital Media for services, you agree to these terms. These terms govern all project work, support plans, and services provided by York Digital Media ("we," "us").

Services

York Digital Media provides web design, web development, graphic design, website hosting and management, monthly support retainers, and photography services. The specific scope of services for each engagement is defined in a separate project proposal or agreement.

Project Proposals and Agreements

All project work begins with a written proposal outlining scope, deliverables, timeline, and payment terms. Projects do not commence until a proposal is accepted and a deposit is received.

Scope changes requested after project commencement may be subject to additional fees. Significant scope changes will be addressed in a written amendment to the original agreement.

Payment Terms

Project work is typically structured with a 50% deposit due at project commencement and the remaining balance due upon delivery. Monthly support and hosting plans are billed at the start of each billing period. Late payments may result in a pause of services.

Accepted payment methods include Zelle, Venmo, cash, and check.

Intellectual Property and Ownership

Upon receipt of final payment, all project deliverables — including code, design files, copy, and graphics created for the client — become the full property of the client with no restrictions.

York Digital Media retains the right to display completed work in a portfolio unless a confidentiality agreement specifies otherwise.

Third-party assets (stock photography, licensed fonts, third-party libraries) are subject to their respective license terms.

Client Responsibilities

Clients are responsible for providing accurate information, timely feedback, and necessary content (text, images, brand assets) within agreed timelines. Delays caused by late client feedback may affect project timelines.

Website Hosting

Hosting services are provided on a monthly basis and may be terminated with 30 days' written notice. York Digital Media is not responsible for third-party hosting outages beyond our control. We maintain regular backups but cannot guarantee uninterrupted uptime.

Support Plans

Monthly support plans are month-to-month and may be cancelled with 14 days' notice prior to the next billing date. Hours included in support plans do not roll over between months.

Limitation of Liability

York Digital Media shall not be liable for any indirect, incidental, special, or consequential damages arising from services provided. Our total liability for any claim related to a project shall not exceed the total fees paid for that specific project.

Confidentiality

Both parties agree to keep confidential any proprietary business information shared during the course of a project. This obligation survives the end of any project relationship.

Governing Law

These terms shall be governed by applicable law. Any disputes arising from services will first be addressed through good-faith negotiation between the parties.

Modifications

York Digital Media reserves the right to update these terms. Current clients will be notified of material changes.
